Terms of Advisory Service

These Terms govern any diagnostic call, Flight Plan Workshop, advisory retainer, or other engagement ("Engagement") that takes place between Suriyavaan Solutions Private Limited ("Suriyavaan", "we") and the organisation that books or commissions it ("Client", "you"). Booking a diagnostic call, signing a proposal, or making a payment, each constitutes your acceptance of these Terms for that particular Engagement.
1. Nature of the service
Suriyavaan is an independent advisory and audit-practitioner practice. We design, build, and recover quality management systems, and we prepare organisations for certification and OEM audits. We are not an Accredited Certification Body. We do not issue AS9100, AS9110, AS9120, ISO, or any other official certification. Certification decisions rest solely with your chosen accredited Registrar / Certification Body, and OEM approval decisions rest solely with the concerned OEM. Suriyavaan does not guarantee certification, audit outcome, or OEM approval as a result of any Engagement.
2. Scope of engagement
The specific scope, deliverables, timeline, and fees for each Engagement are set out in the diagnostic outcome, workshop proposal, or retainer agreement that is issued to you separately. These Terms apply in addition to that document, and in case of any direct conflict, are superseded by the specific written terms of that proposal or agreement, for the matters it expressly addresses.
Where certification-body liaison or audit accompaniment forms part of an Engagement, Suriyavaan acts solely as your advisor and representative in that process — not as the auditor, and not as a party to the certification decision itself.
3. Client responsibilities
- Provide accurate, complete and timely information about your operations, quality system, and any existing certification status.
- Provide reasonable access to relevant personnel, premises, and records needed to perform the Engagement.
- Make internal resourcing available (process owners' time) as agreed at the start of the Engagement — the sequenced roadmap depends on it.
- Make payments per the agreed schedule; work may be paused for engagements with overdue payment.
4. Fees and payment
The diagnostic call is free of charge. Fees for the Flight Plan Workshop, advisory retainers, and any other paid Engagement are quoted to you in writing before you commit, and are payable as per the schedule set out in that quote or agreement. Fees already paid for work that has been performed are non-refundable; fees for work not yet performed are refundable at Suriyavaan's discretion, less any costs already incurred.
5. Intellectual property
Suriyavaan retains all intellectual property rights in its proprietary methodology, frameworks, training materials, templates, and the systems-thinking / system-dynamics-modelling approach that is used to deliver an Engagement ("Suriyavaan IP"). You receive a non-exclusive, non-transferable licence to use the Suriyavaan IP internally, for your own operations, for as long as you need it — however, you may not resell, sublicense, or repackage it as a standalone product or training offering.
Deliverables that are created specifically for your organisation during a paid Engagement — such as your quality manual, procedures, corrective-action records, and similar client-specific work product — become your property once the corresponding fees have been paid in full. Suriyavaan may retain copies for its own records, and confirms that it will keep them confidential, per Section 6.
6. Confidentiality
Both parties agree to keep confidential any non-public information that is disclosed during the Engagement, and to use it only for the purposes of that Engagement. This obligation survives the end of the Engagement. Suriyavaan will not disclose your systemic findings, audit history, or business information to any third party — including your certification body — without your consent, except where this is required by law.
6.1 Use of AI-assisted analysis tools
Suriyavaan may use AI-assisted software tools to help analyse documents, draft findings, or structure deliverables during an Engagement. Any Client information that is processed through such a tool remains subject to the confidentiality obligations of this Section 6. Suriyavaan will not submit your non-public records, findings, or identifying business information to a general-purpose public AI tool, without a data-processing agreement or an equivalent safeguard being in place with that tool's provider; and Suriyavaan will not use your information to train any AI model. Before an Engagement begins, you may request to know whether, and how, AI-assisted tools will be used on your specific Engagement.
7. Limitation of liability
Suriyavaan will perform the Engagement with reasonable skill and care, consistent with the standards of an experienced aerospace quality practitioner. However, certification, audit, and OEM-approval outcomes depend on factors that are outside our control, including your organisation's own execution, your certification body's independent judgment, and your customers' decisions. To the maximum extent permitted by Indian law, Suriyavaan's total liability arising from any Engagement is limited to the fees actually paid by you for that Engagement, and Suriyavaan shall not be liable for indirect, incidental, or consequential loss, including lost profits, lost contracts, or lost certification opportunities.
8. Termination
Either party may terminate an ongoing Engagement by giving 15 days' written notice. Fees for work performed up to the date of termination remain payable. Sections 5, 6, and 7 survive the termination of the Engagement.
9. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising from an Engagement will first be attempted to be resolved through good-faith discussion; failing that, the courts at Bengaluru, Karnataka have exclusive jurisdiction.
10. Changes to these Terms
We may update these Terms from time to time; the effective date given above reflects the latest version. Changes do not apply retroactively to an Engagement that is already under a separately signed agreement, unless that agreement states otherwise.
